Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Plancknow, an AI-powered growth platform for Shopify store owners, operated by EMDAF Technologies Private Limited ("we", "us", "our").

By accessing or using Plancknow at dev.plancknow.com, you agree to be bound by these Terms. If you do not agree, do not use the platform.

2. The Service

Plancknow provides:

• AI-powered content generation (blogs, social media posts, videos)
• Product intelligence and enrichment using your Shopify store data
• Social media publishing to platforms you connect (YouTube, Instagram, Facebook)
• Ad campaign creation and management using your connected ad accounts
• Analytics and performance insights
• AI agents that act on your behalf based on your explicit instructions or approvals

3. Account Registration

• Accounts are created by platform administrators. Self-registration is not available.
• You are responsible for keeping your login credentials confidential.
• You must notify us immediately if you suspect unauthorised access to your account.
• You must be at least 18 years old to use the platform.

4. Connected Accounts & Permissions

When you connect third-party accounts (Shopify, Meta, Google, Instagram, YouTube) to Plancknow:

• You authorise us to access and act on those accounts only as instructed by you through the platform.
• You represent that you have the legal right to connect those accounts and authorise the actions you request.
• You remain solely responsible for all content published, all ads created, and all spend incurred through your connected ad accounts.
• You can disconnect any account at any time from your Store settings. Disconnecting will immediately revoke our access.

5. AI-Generated Content

• Plancknow uses AI to generate content (text, images, videos). You are responsible for reviewing all AI-generated content before publishing.
• We do not guarantee the accuracy, completeness, or fitness of AI-generated content for any specific purpose.
• You own the content generated using your store's data and your account.
• You must not use the platform to generate content that is illegal, defamatory, infringing, or violates any third-party platform's policies.

6. Credits & Billing

• The platform operates on a prepaid credit system. Credits are purchased via Razorpay.
• Credits are non-refundable unless required by applicable law.
• Credit pricing and consumption rates are displayed within the platform and may change with notice.
• We will send an invoice to your registered email for every credit purchase.
• Ad spend on Meta and Google is charged directly by those platforms to your connected ad account. Plancknow does not handle or intermediate ad spend.

7. Acceptable Use

You must not use Plancknow to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Generate or distribute spam, misleading content, or fake reviews
• Reverse engineer, decompile, or extract the platform's source code
• Attempt to gain unauthorised access to other users' data or accounts
• Use the platform in a way that disrupts or damages our infrastructure

8. Agentic Actions

Plancknow includes AI agents that can propose and execute actions on your behalf (publishing content, creating ad campaigns, adjusting budgets). The following applies:

• In human-in-the-loop mode, all agent proposals require your explicit approval before execution. You are responsible for actions you approve.
• If you enable autonomous mode, you authorise the agent to act within the budget and scope limits you set. You are responsible for all resulting actions and spend.
• We are not liable for outcomes resulting from agent actions you have approved or authorised.

9. Intellectual Property

• The Plancknow platform, including its design, code, and AI models, is owned by EMDAF Technologies Private Limited.
• You retain ownership of your store data, product information, and content generated using your account.
• You grant us a limited licence to process your data solely to provide the service.

10. Disclaimers & Limitation of Liability

• The platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service.
• We are not responsible for losses arising from third-party platform outages, API changes, or policy changes by Meta, Google, Shopify, or any other platform.
• To the maximum extent permitted by law, our total liability to you shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your access to the platform will cease and your data will be deleted per our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

13. Changes to Terms

We may update these Terms from time to time. We will notify you by email for material changes. Continued use of the platform after changes constitutes acceptance of the updated Terms.
